（中央社記者蔡怡杼台北29日電）金管會主委顧立雄表示，金管會已草擬將吹哨者機制納入金融業內部控制及稽核制度實施辦法，預估修正可在明年第一季完成。初步會先要求銀行、金控資產一兆元以上者要設獨立法遵單位。

ETtoday新聞雲節目「雲端最前線」今天專訪金融監督管理委員會主委顧立雄，主持人提問金管會對於吹哨者機制推動情況？

顧立雄表示，吹哨者機制可分兩個部分來講，一個是個案上如何保護吹哨者，另一個則是通案上法治建設的問題。

在法治部分，顧立雄說，金管會能做的就是在內控內稽辦法中，納入吹哨者機制，先要求資產新台幣一兆元以上的銀行以及金控，要設專責的獨立法遵以及獨立的資安單位，法遵單位要跟法務部門分離，另外，法遵單位要建立企業的吹哨者系統。

顧立雄強調，現在世界各國沒有強制要求法務單位要跟法遵單位切離，所以金管會循序漸進推動法遵與法務單位的獨立，初步先要求一兆元以上的銀行、金控，之後再擴及到保險、證券，甚至是上市櫃公司。

同時，顧立雄強調，即使資產未超過一兆元以上的銀行以及金控，仍要設有專責的法遵單位，且法遵若要跟法務部門合在一起，業務上也不能有利益衝突。

顧立雄也說，吹哨者機制納入內控內稽辦法，雖然只是辦法，還不到法律層級，但對銀行、金融業來講，內控內稽辦法層級已經是很大的制約，因為只要一違反，金管會就可依銀行法第61之一以有礙健全之虞的帝王條款開罰。

至於個案上對吹哨者的保護，顧立雄表示，他深深體認吹哨者總是艱難的，一旦在大股東不變的情況下，在企業內做了吹哨動作後，雙方的僱傭信賴關係就很難維持，因此，金管會在法制面上要先走一步，建構吹哨者機制及保護意識，另外，無論如何還是要給吹哨者適切的保護。

顧立雄補充說明，吹哨者機制納入內控內稽辦法完成草擬後，金管會銀行局之後將舉辦公聽會，與外界溝通，預估內控內稽辦法的修正可在明年第一季完成。1061129
